The Seller agrees to provide all necessary login credentials, administrative access, and documentation required to complete the transfer within five (5) business days of receiving full payment.
REPRESENTATIONS AND WARRANTIES: The Seller represents and warrants that: (a) they are the sole legal owner of the website and have full authority to sell and transfer the website; (b) the website is free from all liens, encumbrances, and claims; (c) the sale does not violate any third-party rights or existing agreements; (d) all content is either original or properly licensed; (e) the website complies with all applicable laws and regulations; and (f) there are no pending or threatened legal actions related to the website.
REVENUE AND TRAFFIC DISCLOSURE: Any revenue figures, traffic statistics, or performance metrics provided by the Seller are represented to be accurate to the best of the Seller’s knowledge. The Buyer acknowledges that future performance of the website may vary and that past results do not guarantee future outcomes. The Seller makes no guarantees regarding the website’s future profitability, traffic levels, search engine rankings, or continued operation.
POST-SALE SUPPORT AND TRAINING: The Seller agrees to provide reasonable transitional assistance to the Buyer for a period of thirty (30) days following the transfer completion date. This assistance may include answering questions about website operation, providing documentation, and facilitating the transfer of third-party accounts. Any support beyond this period shall be negotiated separately between the parties.
INDEMNIFICATION: The Seller agrees to indemnify and hold harmless the Buyer from any claims, damages, liabilities, or expenses arising from: (a) any breach of the Seller’s representations and warranties; (b) any copyright, trademark, or intellectual property infringement related to content created prior to the sale; or (c) any actions taken by the Seller during their ownership of the website. The Buyer agrees to indemnify the Seller from any claims arising from the Buyer’s operation of the website after the transfer completion date.
