DESCRIPTION AND AUTHENTICITY: The Seller represents that the artwork described above is authentic and is sold with good title, free from all liens, encumbrances, and claims. The Seller warrants that they have the legal right to sell the artwork and that it has been accurately described in all material respects, including attribution, medium, dimensions, and condition.
CONDITION AND AS-IS SALE: The artwork is sold in its present condition. The Buyer acknowledges having inspected the artwork or waived the right to do so, and accepts it AS-IS with all faults, defects, and imperfections, whether visible or latent. Except as expressly stated in this agreement, the Seller makes no warranties or representations regarding the condition, quality, or future value of the artwork.
PROVENANCE AND COPYRIGHT: The Seller transfers ownership of the physical artwork only. Unless expressly stated otherwise, copyright and reproduction rights remain with the artist or copyright holder. The Seller provides available provenance information to the Buyer. The Buyer agrees not to reproduce, publish, or create derivative works from the artwork without obtaining appropriate permissions from the copyright holder.
PAYMENT AND TRANSFER OF OWNERSHIP: Upon receipt of full payment of the sale price, ownership of the artwork transfers from the Seller to the Buyer. The Seller shall deliver the artwork to the Buyer in a manner appropriate to its size and fragility. Risk of loss or damage passes to the Buyer upon delivery or upon payment in full, whichever occurs first.
LIMITATION OF LIABILITY: The Seller’s liability under this agreement is limited to the purchase price paid by the Buyer. In no event shall the Seller be liable for any consequential, incidental, special, or punitive damages arising from this sale or the artwork’s condition, authenticity, or provenance, even if the Seller has been advised of the possibility of such damages.
GOVERNING LAW: This agreement shall be governed by and construed in accordance with the laws of the Province/State of .
