SALE AND TRANSFER OF OWNERSHIP: The Seller hereby sells, transfers, and conveys to the Buyer all right, title, and interest in and to the bulk goods described above. The Buyer accepts the goods and agrees to pay the purchase price as stated. Upon full payment, all ownership rights shall transfer to the Buyer.
AS-IS CONDITION: The bulk goods are sold in their current condition, AS-IS and WHERE-IS, with all faults. The Seller makes no warranties, express or implied, regarding the quality, merchantability, fitness for a particular purpose, or condition of the goods. The Buyer has inspected the goods or waived the right to inspection and accepts them in their present state.
WARRANTIES AND REPRESENTATIONS: The Seller represents and warrants that they are the lawful owner of the bulk goods with full authority to sell them, that the goods are free from all liens, encumbrances, and claims, and that the Seller will defend the title against any lawful claims. The Seller makes no other warranties beyond clear title to the goods.
RISK OF LOSS AND DELIVERY: Risk of loss or damage to the bulk goods passes to the Buyer upon transfer of possession or delivery, whichever occurs first. The Buyer is responsible for all transportation, shipping, handling, and insurance costs unless otherwise agreed in writing. The Seller shall not be liable for any loss or damage occurring after transfer of possession.
LIMITATION OF LIABILITY: The Seller’s total liability under this Bill of Sale shall not exceed the purchase price paid by the Buyer. Neither party shall be liable for any indirect, incidental, consequential, or punitive damages arising from this transaction, including but not limited to lost profits, business interruption, or loss of use.
GOVERNING LAW: This Bill of Sale shall be governed by, construed, and enforced in accordance with the laws of the Province/State of .
