TRANSFER OF OWNERSHIP: The Seller hereby sells, transfers, and conveys to the Buyer all rights, title, and interest in and to the above-described vessel, including all equipment, accessories, and appurtenances currently attached to or accompanying the vessel. The Seller warrants that they are the lawful owner of the vessel and have the full right and authority to sell and transfer the vessel free and clear of all liens, encumbrances, and claims.
AS-IS CONDITION: The Buyer acknowledges that the vessel is sold in its present ‘AS-IS, WHERE-IS’ condition with all faults, defects, and imperfections, whether known or unknown, patent or latent. The Buyer has inspected the vessel or has waived the right to inspect and accepts the vessel in its current condition. The Seller makes no representations or warranties, express or implied, regarding the vessel’s condition, seaworthiness, fitness for any particular purpose, or merchantability.
SELLER’S REPRESENTATIONS: The Seller represents and warrants that: (a) the vessel is free from all liens, security interests, and encumbrances except as disclosed in writing; (b) there are no known structural defects or damage that would affect the vessel’s seaworthiness except as disclosed; (c) all information provided regarding the vessel’s specifications, history, and condition is accurate to the best of the Seller’s knowledge; and (d) the Seller will provide all available documentation, including registration, title, and maintenance records.
BUYER’S OBLIGATIONS: The Buyer agrees to: (a) assume all responsibility for registration, titling, and documentation transfer in accordance with applicable maritime and state/provincial regulations; (b) pay all applicable sales taxes, registration fees, and transfer costs; (c) obtain appropriate marine insurance coverage; and (d) indemnify and hold harmless the Seller from any claims, damages, or liabilities arising from the Buyer’s use or operation of the vessel after the date of sale.
DISCLAIMER OF LIABILITY: The Seller shall not be liable for any damages, injuries, losses, or expenses incurred by the Buyer or any third party arising from the ownership, use, operation, or maintenance of the vessel after the completion of this sale. The Buyer assumes all risks associated with the vessel and releases the Seller from any future claims related to the vessel’s condition, performance, or operation.
GOVERNING LAW: This Bill of Sale shall be governed by, construed, and enforced in accordance with the laws of the Province/State of .
