IN CONSIDERATION of of (the ‘Purchaser’) providing $ (the “Purchase Price”), the receipt and sufficiency of which is hereby acknowledged to of (the ‘Seller’), the Seller SELLS AND DELIVERS the software license to the Purchaser.
PAYMENT METHOD: The Purchaser will pay the Purchase Price to the Seller by Cash.
SOFTWARE LICENSE DESCRIPTION: The Seller will sell and deliver to the Purchaser the following software license:

TRANSFER OF LICENSE: The Seller hereby transfers and assigns to the Buyer all rights, title, and interest in the software license described above. The Seller warrants that they are the lawful owner of said license and have the full right and authority to transfer it. The Buyer acknowledges that this transfer is subject to the original End User License Agreement (EULA) and terms of service established by the software publisher.
REPRESENTATIONS AND WARRANTIES: The Seller represents and warrants that: (a) the software license is valid, active, and in good standing; (b) the license has not been previously transferred or assigned to any other party; (c) there are no outstanding violations of the original EULA; (d) all maintenance fees and subscription costs are current and paid through the date of transfer; and (e) the Seller will cease all use of the software immediately upon completion of this sale.
PUBLISHER APPROVAL AND COMPLIANCE: The parties acknowledge that this transfer may require approval from the software publisher or licensor. The Buyer agrees to complete any required transfer procedures, registration updates, or compliance forms as mandated by the publisher. If the publisher does not approve the transfer, this Bill of Sale shall be void and the Seller shall refund the full purchase price to the Buyer within fourteen (14) days of denial notification.
AS-IS CONDITION AND LIMITATION OF LIABILITY: The software license is sold in AS-IS condition with no warranties beyond those explicitly stated in this document. The Seller makes no warranties regarding the software’s performance, compatibility, fitness for a particular purpose, or continued support from the publisher. The Seller shall not be liable for any technical issues, data loss, or business interruption resulting from the Buyer’s use of the software after transfer.
INDEMNIFICATION: The Buyer agrees to indemnify and hold harmless the Seller from any claims, damages, liabilities, or expenses arising from the Buyer’s use of the software after the date of transfer, including but not limited to violations of the original EULA, intellectual property infringement claims, or unauthorized distribution of the software.
GOVERNING LAW: This Bill of Sale shall be governed by, construed, and enforced in accordance with the laws of the Province/State of .
